When users interact with an AI, their prompts and feedback train the system. Clear licensing prevents users from claiming ownership over those improvements. This clause outlines the exact limits of user access and automatically vests all system feedback back to the organization.
The Organisation grants a restricted, non-sublicensable right of access to its systems, strictly limited to sanctioned operational tasks. Users are categorically prohibited from probing, decompiling, or reverse-engineering the underlying algorithmic weights or system prompts. Any technical optimizations, prompt refinements, or feedback provided by users constitute 'Work Made for Hire'; all associated rights, title, and interest vest immediately and irrevocably in the Organisation upon creation, serving as a comprehensive assignment of all resultant IP.
Why is this clause so important?
Every time a user corrects an AI drafted contract, they improve the model. This assignment clause legally captures that human-in-the-loop training, ensuring the enterprise fully owns the resulting "smart" algorithm.
