The Organisation asserts exclusive and unencumbered title to its proprietary data, including all associated metadata, weights, embeddings, and architectural configurations. This ownership extends to any synthetic datasets, recursive outputs, or algorithmic refinements derived from the Organisation’s assets. Any third-party IP integrated into the stack is subject to strict 'sandbox' isolation, with no implied transfer of rights or permissions for downstream model training beyond the explicit written license.
Why is this clause so important?
A law firm spends thousands of hours fine-tuning an AI on its specific negotiation style. This explicitly blocks the vendor or departing partners from claiming ownership over those highly valuable model weights and custom workflows.
